1. Agreement to Terms

These Terms of Service ("Terms") are a contract between you and SiRo Software governing your access to and use of seosiah.com and related services (the "Service"). By using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

• You are at least 16 years old or the legal age of majority in your jurisdiction.
• You have legal capacity to enter into contracts.
• Information you provide is accurate and complete.
• You keep your credentials secure.

3. Account Registration and Security

3.1 Account

Some features require an account. Keep your information up to date.

3.2 Responsibilities

You are responsible for activity under your account. Notify us immediately of any unauthorized access. Losses from compromised credentials are your responsibility if you did not keep them secure.

3.3 Suspension and Termination

We may suspend or terminate accounts for breach, suspected fraud, or misuse. Where reasonable, we will notify you and allow a response before taking final action, except where immediate action is required to protect the Service or others.

4. Service Description

4.1 AI Content Generation

The Service offers AI-assisted features that generate SEO content, mindmaps, topic suggestions, metadata, and AI-enhanced images based on your inputs.

4.2 Processing of Inputs

Your inputs such as website details, topics, and keywords are processed to produce outputs. You acknowledge that inputs may be transmitted to external processing systems under safeguards described in our Privacy Policy.

4.3 Availability

Interruptions may occur. For prolonged outages of more than 72 consecutive hours caused by our systems, we may offer account credits or other reasonable remedies at our discretion.

4.4 Modifications

We may update or discontinue features. For material changes we will try to notify users via the Service or email.

5. Credit System and Payments

5.1 Credits

Premium features require credits. Costs are shown in your dashboard and may change with notice.

5.2 Purchasing

Payments are processed by a third-party payment processor. We do not store full card details. Prices are in EUR unless stated otherwise.

5.3 Refunds and Failed Generations

Credits are generally non-refundable once added to your account. If a generation fails due to our technical error, contact support within 14 days. If we determine the failure was our responsibility, we will refund or re-credit your account.

5.4 Credit Expiry

Credits remain valid while your account is active. If your account is inactive for 12 months, we may expire unused credits after 30 days notice.

5.5 Taxes

Prices exclude applicable taxes. You are responsible for taxes or duties in your jurisdiction.

6. Referral Program

Referral terms are defined in the referral rules. Misuse, automated referrals, self-referral, or deceptive promotion may lead to forfeiture of rewards and account action.

7. Intellectual Property

7.1 Generated Content

You retain ownership of content you generate. You represent that your inputs and use of outputs do not infringe third-party rights. We may remove content that violates rights or these Terms.

7.2 Service IP

Software, designs, trademarks, and other intellectual property of the Service remain our property. You may not copy, reverse engineer, or create derivative works.

7.3 Takedowns

For rights concerns, email legal@seosiah.com with sufficient details. We will investigate promptly.

8. Acceptable Use

Do not use the Service to generate illegal, harmful, infringing, deceptive, or abusive content. Attacks, spam, circumvention of limits, or interference with the Service are prohibited.

8.1 Enforcement

We may investigate and take action including removal, suspension, or termination. We inform users where appropriate and allow a response unless immediate action is required.

9. Content Quality and Disclaimers

9.1 AI Outputs

AI outputs may contain inaccuracies or require editing. You are responsible for verifying, editing, and ensuring legal and editorial compliance before publication.

9.2 No SEO Guarantee

We do not guarantee rankings, traffic, or business outcomes. SEO performance is influenced by many external factors.

10. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, or consequential damages.
• For direct damages arising from our breach other than gross negligence or willful misconduct, our total liability will not exceed the amount you paid for credits in the 12 months before the claim.
• We do not exclude liability that cannot be excluded by law including death or personal injury caused by our negligence.

This allocation of risk is reasonable given the nature of the Service.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your breach of these Terms, your inputs, or your publication of outputs. We will notify you of claims and may assume control of the defense where appropriate.

12. Data Processing and Privacy

Our Privacy Policy explains how we collect, use, and share personal data. By using AI features you consent to transmission of your inputs for processing as necessary to deliver the Service.

We retain logs and records as necessary to operate, secure, and investigate abuse of the Service. These records may be used as evidence if disputes arise.

13. Force Majeure

We are not liable for failures or delays due to events beyond our reasonable control including infrastructure outages, cyber incidents, acts of government, natural disasters, or third-party failures.

14. DMCA and Takedown

To report alleged infringement, email legal@seosiah.com with details required by applicable law. We will act in accordance with legal requirements.

15. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands. The courts of the Netherlands have exclusive jurisdiction subject to mandatory consumer protections.

16. Changes to Terms

We may revise these Terms. We will post the updated Terms with a new date and provide notice for material changes. Continued use after changes means acceptance.

17. Severability

If any provision is invalid or unenforceable, the rest remains effective and a valid replacement will apply that reflects the original intent.

18. Entire Agreement

These Terms together with the Privacy Policy form the entire agreement regarding the Service and supersede prior understandings.
